1. NAME AND DURATION

1.1 There is hereby created an unincorporated association to be known as the Board of Visitors of North Carolina State University.

1.2 The association shall continue in existence at the pleasure of the Chancellor of North Carolina State University, in consultation with the University’s Board of Trustees.

2. PURPOSE AND FUNCTION

2.1 The Board of Visitors shall be a service organization of North Carolina State University to provide advice to the Chancellor and, through the Chancellor, to the Board of Trustees.

2.2 In this role, the Board shall have the following functions:

2.2.1 to assist the Chancellor and the Board of Trustees in ensuring that North Carolina State University’s relative standing among the premier universities in America is maintained and enhanced;

2.2.2 to explain North Carolina State University’s educational purposes and accomplishments and to be advocates for its educational aspirations to the people of North Carolina and of the nation;

2.2.3 to help the Chancellor and the Board of Trustees in clearly understanding the attitudes, hopes, and expectations that the people of North Carolina have for North Carolina State University; and

2.2.4 to provide thoughtful advice and guidance to the Chancellor and the Board of Trustees on a variety of institutional, educational, and developmental concerns.

3. MEMBERSHIP

3.1 The Board of Visitors shall consist of thirty (30) members appointed by the Chancellor with the advice and consent of the Board of Trustees of North Carolina State University.

3.2 Criteria for membership shall be a commitment and willingness to help NC State University excel in its educational, research, and public service activities. In making appointments, the Chancellor shall seek to identify and to appoint to the Board individuals with particular concern for undergraduate teaching and programs. In addition, at least one-third of the members shall also be members of the advisory boards of colleges and schools as may exist at NC State University.

3.3 Fifteen members shall be appointed at the spring meeting of the Board of Trustees in every even-numbered year. A term of appointment shall be four years commencing July 1 of the appointment. A Board member shall serve until a successor is appointed.

3.4 Any vacancy in membership during an unexpired term shall be filled for the balance of the unexpired term in the manner specified in section (3.2) above.

4. OFFICERS

4.1 There shall be a Chair and one or more Vice Chairs of the Board of Visitors. The Chancellor will appoint a staff member to serve as Secretary of the Board of Visitors.

4.2 The officers of the Board of Visitors shall be appointed each spring by the Chancellor and confirmed by the Board of Trustees.

4.3 Such officers shall serve until June 30 of the year following their election, and an officer may be reappointed for an unlimited number of terms. Any vacancy in an office shall be filled at the appropriate time for the balance of the unexpired term in the manner specified in section (4.2) above.

5. MEETINGS

5.1 Meetings of the Board of Visitors shall be called by its Chair in consultation with the Chancellor.

5.2 Such meetings may be held at any time and place and members of the Board of Trustees and the Chancellor may attend and participate in all meetings of the Board of Visitors.

6. AMENDMENTS

6.1 This Charter may be amended at any time by action of the Chancellor, in consultation with the Board of Trustees.

6.2 Amendments may be made at the initiative of the Chancellor, in consultation with the Board of Trustees, or in response to suggestions made by the Board of Trustees or by the Board of Visitors.
